These Terms of Service ("Terms") govern your use of the HeadsUp mobile application, website, and related services (the "Service") operated by HeadsUp Technologies, Inc. ("HeadsUp," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3. Beta Service Disclaimer

The Service is currently in beta. Features may change, break, or be removed without notice. We provide the Service on an "as is" and "as available" basis during the beta period. You understand and acknowledge that the Service may contain bugs, errors, and other problems.

4. Founding Member Program

4.1 Payment

The Founding Member tier is a one-time payment of $297 USD, processed securely through Stripe. This payment grants you lifetime access to Pro features as described at the time of purchase.

4.2 Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with the Service, you may request a full refund within 30 days of your purchase by emailing support@headsup.app.

4.3 Lifetime Access

"Lifetime access" means for the duration of the Service's operation. If HeadsUp ceases operations, we will provide at least 90 days' notice and make reasonable efforts to export your data.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or extract data from the Service for commercial resale
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Use the Service to make investment decisions without independent due diligence

6. Data Accuracy Disclaimer

The data provided through the Service - including property values, crime statistics, rental estimates, and ownership information - is sourced from third-party providers and public records. HeadsUp does not guarantee the accuracy, completeness, or timeliness of this data. All data is provided for informational purposes only and should not be the sole basis for any investment or financial decision. Always conduct your own due diligence.

7. Intellectual Property

The Service, including its design, code, features, and content, is owned by HeadsUp Technologies, Inc. and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

8. Limitation of Liability

To the fullest extent permitted by law, HeadsUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

9. Indemnification

You agree to indemnify, defend, and hold harmless HeadsUp and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
